1. Acceptance of Terms

By accessing and using Parquet Power Tools (the "Service"), you accept and agree to be bound by the terms and provision of this agreement.

2. Service Description

Parquet Power Tools provides Excel and Google Sheets add-ins for importing, exporting, profiling, and processing Parquet files. Our services include:

• Parquet Importer - Import Parquet files into Excel and Google Sheets
• Parquet Writer - Export Excel data to Parquet format
• Parquet Profiler - Analyze and profile Parquet data
• Parquet Merge & Split - Merge and split Parquet files
• Bundle package containing all four tools

3. User Accounts

3.1 Registration

To use our services, you must create an account through our authentication system powered by Auth0. You agree to provide accurate, current, and complete information during registration.

3.2 Account Security

You are responsible for maintaining the security of your account and password. You agree to notify us immediately of any unauthorized use of your account.

4. Subscription and Billing

4.1 Payment Processing

Payments are processed through Stripe, Inc. By subscribing to our services, you agree to Stripe's terms of service and privacy policy.

4.2 Subscription Plans

We offer monthly and yearly subscription plans. All subscription fees are paid in advance and are non-refundable except as expressly stated in our Refund Policy.

4.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.

4.4 Price Changes

We reserve the right to change our pricing with 30 days' notice to existing subscribers.

5. Free Trial

We offer a free trial that allows processing up to 1,000 rows per add-in. Free trial users have access to core functionality but may not have access to all premium features. The free trial does not automatically convert to a paid subscription.

6. Data Processing and Privacy

6.1 Client-Side Processing

Our add-ins perform 100% client-side processing. Your data files never leave your browser or local environment when using our tools.

6.2 Data Collection

We only collect your email address for account creation and service communications. See our Privacy Policy for full details.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble our software
• Use the service for illegal activities
• Attempt to bypass usage limitations or restrictions
• Share your account credentials with others
• Use the service to process data you don't have the right to process

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Intellicat Suite and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Limitation of Liability

In no event shall Intellicat Suite be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses.

10. Disclaimer of Warranties

The service is provided on an "AS IS" and "AS AVAILABLE" basis. We make no warranties, expressed or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Termination

11.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support.

11.2 Termination by Us

We may terminate your account immediately if you violate these terms or engage in prohibited activities.

12. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or through our service.

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions.
